The parties

These Terms of Service ("Terms") are a legal agreement between you and Cow Yoga LLC, a Wyoming limited liability company doing business as Wares ("Wares", "we", "us", or "our"). By accessing this website or joining our waitlist, you agree to be bound by these Terms. If you don't agree, please don't use the site. You must be at least 16 and be joining for business purposes.

Cow Yoga LLC's general Terms of Service (opens in new tab) may also apply to your use of Wares. Where the two conflict, these Terms take precedence for anything specific to Wares.

What Wares is right now

Wares is a business operations platform currently in development. This website is a pre-launch waitlist. We are not selling or licensing any product or service at this time. Nothing on this site constitutes an offer to sell, a promise of delivery, or a binding commitment to provide any product or feature on any particular timeline. Don't rely on information on this site when making business decisions.

Joining the waitlist

Submitting your information to our waitlist:

• Does not guarantee you early access, a specific pricing tier, or any particular feature set.
• Does not constitute a purchase, reservation, or payment of any kind. No money changes hands.
• Does not create any contractual obligation on our part to invite you, contact you within any timeframe, or launch the product at all.
• Means you agree to receive emails from us about Wares, such as updates, your early access invitation, and launch news. You can unsubscribe at any time using the link in any message, or by emailing [email protected].

We select waitlist members at our sole discretion. We may invite all, some, or none of the people who sign up.

Accurate information

You agree to provide accurate, current, and complete information when joining the waitlist or contacting us. Submitting false, misleading, or another person's information is a violation of these Terms and may result in removal from the waitlist.

Acceptable use

You may not:

• Use automated tools, bots, or scripts to submit forms or to circumvent security measures such as CAPTCHA.
• Attempt to gain unauthorized access to any part of the site, its infrastructure, or any related systems.
• Scrape, harvest, or systematically extract content or data from this site.
• Impersonate any person or entity, or misrepresent your affiliation with any organization.
• Use the site in any way that violates applicable law, including laws governing spam, privacy, or data protection.
• Transmit malware, viruses, or any code intended to damage or interfere with the site or its users.

Intellectual property

All content on this site, including the Wares name, logo, lockup, product names, design, text, and code, is owned by or licensed to Cow Yoga LLC. Nothing on this site grants you any right to use our trademarks, trade names, or other intellectual property without our prior written consent.

You may share a link to this site or reference Wares by name for informational purposes. You may not reproduce, modify, distribute, or create derivative works of any site content without permission.

Feedback and communications

If you send us feedback, suggestions, or ideas about Wares, whether by email or any other channel, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use that feedback for any purpose, without obligation or compensation to you. Please don't send us confidential information. We won't share your personal information when using your feedback.

This site may link to third-party websites or reference third-party services. We don't control those sites and are not responsible for their content, privacy practices, or terms. Links are provided for convenience and do not constitute endorsement.

THIS SITE AND ALL INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SITE WILL BE AVAILABLE AT ALL TIMES, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COW YOGA LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND CONTRACTORS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THIS SITE OR THE WAITLIST, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THIS SITE WON'T EXCEED ONE HUNDRED US DOLLARS ($100), REGARDLESS OF THE THEORY OF LIABILITY.

Some jurisdictions don't allow certain disclaimers or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that can't be limited by law.

Indemnification

You agree to defend, indemnify, and hold harmless Cow Yoga LLC and its members, managers, officers, employees, and contractors from claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms or applicable law, or your violation of a third party's rights.

Termination

We may remove you from the waitlist or restrict your access to this site at any time, for any reason or no reason, without notice or liability. You may also request removal from the waitlist at any time by emailing [email protected].

Sections covering intellectual property, feedback, disclaimers, limitation of liability, indemnification, governing law and disputes, and general terms survive any termination of these Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of this site will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts, except where your local consumer protection law gives you the right to bring a claim elsewhere.

General

• Assignment: you can't assign these Terms without our written consent. We may assign them, including in connection with a merger, acquisition, or sale of assets.
• No waiver: if we don't enforce a right under these Terms, that isn't a waiver of it.
• Relationship: nothing in these Terms creates a partnership, employment, or agency relationship between you and us.
• Severability: if any provision of these Terms is found to be unenforceable or invalid, it will be limited or removed to the minimum extent necessary, and the rest will remain in full effect.

Entire agreement

These Terms, together with our Privacy Policy and any product-specific terms we provide, are the entire agreement between you and Cow Yoga LLC regarding this site and the waitlist, and replace all earlier agreements or understandings on the same subject.

Updates

We may update these Terms from time to time. When we do, we'll update the date at the top of this page and, for material changes, where practical, email waitlist members. Continued use of the site after changes are posted means you accept the updated Terms.
